Nova Minerals Set for US Redomiciliation, Eyes Full Control of Estelle Project
Nova Minerals is embarking on a significant strategic shift, planning to redomicile its operations to the United States by June 2026. This move is designed to streamline its corporate structure, enhance access to capital, and solidify its position in the burgeoning critical minerals sector, particularly at its flagship Estelle gold and critical minerals project in Alaska. Crucially, the company intends to maintain its dual listing on both the Australian Securities Exchange (ASX) and the Nasdaq, retaining its existing ticker codes.
The decision to relocate the company’s domicile is driven by several key factors, not least of which is the evolving shareholder base and the strategic importance of its Alaskan assets. As of December 31, 2025, the majority of Nova Minerals’ shares are held by US investors. This shift means the company will no longer qualify as a foreign private issuer under US securities laws, necessitating compliance with domestic US regulations from July 1, 2026. To pre-empt potential conflicts between Australian and US listing requirements, the board has proactively proposed the redomiciliation.
Estelle Project: A Gem in the Tintina Gold Belt
The Estelle project, located in Alaska, is situated within the highly prospective Tintina gold belt. This region is renowned for its rich mineral endowment, boasting over 220 million ounces of documented gold and hosting some of the world’s most significant gold mines and discoveries, including Kinross Gold Corporation’s Fort Knox Gold Mine. Estelle itself is a substantial asset, featuring two defined multi-million-ounce gold resources and an impressive portfolio of over 20 prospects spread across a 35-kilometre mineralised trend.
Critical Minerals Ambitions Bolstered by US Government Support
Nova Minerals is aggressively advancing its critical minerals strategy, a crucial component of which is the development of a domestic antimony supply chain. This initiative is fully funded by a substantial US$43.4 million award from the Department of War. Production from this critical supply chain is anticipated to commence in late 2026 or early 2027. The company’s strategic alignment with US government objectives, coupled with its increasing US investor base, makes the redomiciliation a logical next step.
The Path to 100% Ownership of Estelle
A significant aspect of the redomiciliation plan involves Nova Minerals acquiring the remaining 15% interest in the Estelle project. Achieving 100% ownership will not only simplify the project’s progression towards construction and production but will also significantly ease access to necessary funding. The move is expected to provide better access to lower-cost US equity capital, broaden the company’s appeal to a wider US investor base, and enhance its eligibility for further grants, funding, and investments from the US Government.
Implications for Shareholders
The redomiciliation process is structured to ensure that existing shareholders retain their ownership interests. Australian shareholders are expected to receive CHESS Depositary Interests (CDIs), while Nasdaq American Depositary Share (ADS) holders will receive shares of common stock in the new US-domiciled entity, which is anticipated to be named Nova Minerals Corp. This structure aims to preserve the current proportional ownership stakes.
Christopher Gerteisen, CEO of Nova Minerals, highlighted the benefits of this transition: “This change will enable many large institutional investors to invest in the company where this was not possible under the current ADS structure.” He also reassured shareholders about the continuity of their investments: “We are mindful that, through this process, our ASX and Nasdaq shareholders are expected to continue to hold and trade their securities in the same way.” Gerteisen expressed enthusiasm for the company’s future, stating, “We are excited about the next chapter in the company’s growth and will keep the market informed as these initiatives progress.”
Corporate Reorganisation and Leadership
As part of this corporate reorganisation, Nova Minerals has announced the resignation of CFO Michael Melamed. The company is actively seeking a new Chief Financial Officer based in the United States, with a strong background in US mining operations and expertise in US Generally Accepted Accounting Principles (GAAP). This search underscores the company’s commitment to aligning its financial leadership with its new US domicile.
